OUR T&CS

ORDERS

Placing an order implies formal acceptance of these terms and conditions, which expressly take precedence over those of the purchaser, unless otherwise agreed in writing. Orders must be confirmed in writing, complete and clearly specified. Changes in our customers' circumstances entitle us to cancel contracts in progress or to demand guarantees. No accepted order may be cancelled without our written agreement. The deposit paid will constitute compensation, failing which cancellation charges are set at 20% of the value of the order.

TECHNICAL SPECIFICATIONS

PRASTEL reserves the right to modify the technical specifications of the products shown in the catalog without prior notice.

PRODUCT PRICING

Prices are given for information only and are in euros, net, excluding taxes and packaging, ex-works. They are calculated on the basis of our current price list and may be subject to change with a minimum of 30 days' notice.

DELIVERY

Our delivery times are given as an indication only. Under no circumstances may late deliveries give rise to penalties, interest or cancellation of orders. In the event of force majeure or any other cause beyond our control, we may, at our discretion, opt for one of the following two solutions:

automatically suspend, for the duration of the suspension, the performance of our commitments, without being liable to the purchaser in any way.

compensation for delays

or terminate our contracts outright and without compensation.

Goods travel at the recipient's risk, since transfer of ownership is deemed to have taken place at the PRASTEL warehouse or its subcontractor. It is the customer's responsibility to make the necessary reservations with the carriers before accepting delivery of the equipment. Shipments are made carriage forward on invoice. Unless otherwise agreed, we reserve the right to make partial deliveries with corresponding invoicing. The purchaser may not take advantage of the fact that he is awaiting the balance of the products to defer payment.

If the purchaser is unable to deliver by the agreed deadline, we reserve the right to dispose of the goods, or if the order is the subject of a special production run, we will pass on the handling and storage costs, i.e. 1% per month of delay from the deadline specified in the order.

PAYMENT

Our invoices are payable at our head office. Our terms of payment are determined at the time the sales contract is concluded.

All first orders must be paid for in cash.

Orders under €500 excl. VAT will be subject to a €25 registration fee.

By express agreement, and unless our company grants a written deferment, failure to pay on the due date will incur interest at the legal EURIBOR rate plus three points, irrespective of the method of payment and without the need for formal notice, the debtor being deemed to be in default by the mere occurrence of the due date at the buyer's expense, without prejudice to collection costs and damages equal to 15% of the unpaid sum.

Failure to pay on a due date will result in the immediate payment of subsequent due dates, following a simple formal notice that has not been followed up.

RETENTION OF TITLE

We expressly reserve ownership of the goods delivered until full payment of their price in principal, costs and accessories (law 80.335 of May 12, 1980 and in accordance with the provisions of articles 121, 121-1, and 122 of the law of January 25, 1985, modified by the law of August 8 and articles 85-2 and 85-3 of the decree of October 21, 1994).

In the event of non-payment of a single fraction of the price on the agreed due dates, and 15 days after formal notice has been given by registered letter with acknowledgement of receipt, all sales will be automatically cancelled at our discretion. Once the sale has been cancelled, the purchaser undertakes to return the goods in the same condition upon simple request from us by registered letter with acknowledgement of receipt.

GUARANTEE

Our products are guaranteed for 24 months from the date of manufacture indicated on the product. We cannot be held liable for any use of our products that does not comply with their intended purpose, with the product description or with our instructions, and whose conditions of use are beyond our control. The warranty is limited to the replacement or repair of the defective part. Under no circumstances can it imply the possibility of reimbursement for transport - round trip - assembly or compensatory allowances. The warranty does not apply to replacements or repairs resulting from normal wear and tear, deterioration or accidents caused by negligence, lack of maintenance and supervision, poor storage conditions, improper installation, or failure to comply with our maintenance and commissioning instructions. The warranty will lapse if the equipment is modified or separated without our agreement.

Replacement, modification or repair of parts during the warranty period shall not extend the warranty period. All claims relating to quantities or qualities delivered are accepted within eight clear days from the date of receipt of the goods.

REPAIRS

Repairs to all our products, whether under warranty or not, are subject to a Return Material Authorization (RMA) issued by our technical department; all returned products must be accompanied by the RMA form. Repairs will only be carried out after acceptance of the quotation sent by PRASTEL. If no reply is received within 30 days, the items will be returned unrepaired, at the customer's expense. In all cases, customers are responsible for the cost of troubleshooting and return postage.

RETRIEVALS

Returns can only be made in exceptional cases, with our prior written agreement, for goods in new condition and in packaging.

Delivered within the last 15 days. Returns made without this agreement cannot be considered as expressing this agreement. They must be made carriage paid and packaged, with delivery note numbers and date, and solely with a view to exchanging goods to be taken immediately. However, goods subject to a special order cannot be exchanged or taken back.

PRASTEL cannot be held responsible for handling or storage that does not comply with the packaging requirements.

ATTRIBUTION OF JURISDICTION

The present conditions are governed by French law.

In the event of litigation, whatever the cause, the Commercial Court of MARSEILLE has exclusive jurisdiction.
